Frances Armstrong Associates is currently seeking an experienced Commercial / IP / IT Solicitor / Contracts Negotiator with a minimum of 7 years PQE on behalf of a well respected and highly recognised international software solutions provider.

From the company’s UK offices, this international solutions provider is looking for an experienced solicitor with proven leadership qualities to oversee the legal operations in the UK as well as the EMEA and APAC regions.

As the Senior Legal Counsel, you will be reporting directly to the Vice President of this international organisation. You will have precise drafting skills and will need to have proven experience working within an international business as a trusted IT contracts negotiator and advisor to international clients and colleagues alike. The role will involve dealing with clients on a 75% repeat business basis from within the Financial, Healthcare, Government and Insurance sectors and proven experience within one or more of these sectors is essential.

This company is one of the world’s leading software solutions providers and is made up from over 16 international locations with the company’s head office based in the USA. The successful applicant will be expected to travel to all regions including the EMEA and APAC regions on a regular basis as well as twice a year to the USA.

With the companies UK offices based in Reading, Candidates are encouraged to apply from outside of the United Kingdom as well as the local area as flexibility will be given to the successful applicant to work from home and to visit the office when required (average 2-3 times a month).

Responsibilities of the role:

* To serve as leader and “project manager” in contract drafting and negotiating process for large, complex software license and services agreements for the company’s European operations.
* Review and analyze contracts for large, complex software license and services agreements, and draft required revisions to reflect company-preferred positions.
* Act as lead negotiator for the company on contract issues, including on business and revenue recognition issues (with input as needed from client executives and Finance personnel).
* Work with senior management to determine deal structure and negotiating strategy, and obtain all required approvals.
* Provide “front line” analysis and advice on revenue recognition issues pertinent to contracts, with escalation to Finance partners on an “as needed” basis.
* Oversee work of Contracts Manager on routine Europe-specific contracts matters like NDAs, independent contractor agreements and the like.
* Research developments in contracts, licensing and related areas of law and advise General Counsel and others regarding legal requirements.
* Assist the General Counsel in handling corporate and compliance work relating to the company’s legal entities in Europe and Asia Pacific.
* Serve as “day to day” Legal team partner and liaison to the UK and other European offices.


Applicant:

* Qualified as a lawyer in the UK or Europe with a minimum of 10 years PQE.
* Good knowledge of the UK legal system.
* Extensive knowledge of European laws in technology and e-commerce, as well as experience advising clients on and structuring complex, high-value, multi-jurisdictional commercial transactions.
* Experience of intellectual property, data privacy, content regulation and litigation, and the ability to command respect for both legal knowledge and business judgement.
* Tight and precise drafting skills
* Experience in revenue recognition
* Experience in undertaking risk management
* Willingness to travel, commitment to professionalism and commitment to customer service excellence.
* Excellent English skills (written and verbal) + additional European languages preferred.


Salary: High Negotiable Package (depending upon experience) + excellent benefits such as; car allowance, group pension, private medical insurance etc
