The Professional Practices Group is recognised in all the leading directories as the UK's premier partnership/limited liability partnership (LLP) practice. The Group is headed by Richard Linsell who is described as the `LLP King` in Chambers 2007 and who is the present Chairman of the UK Association of Partnership Practitioners. The Group advises professional service firms from all sectors, including lawyers, accountants, surveyors and patent and trade mark agents. It has been responsible for leading over sixty conversions to LLP status for firms with an estimated gross fee income of over £2 billion and including the very first accountancy firm (Ernst & Young LLP) and the first law firm to convert. An increasing number of instructions now come from the financial services industry where LLPs are increasingly the favoured business vehicle.
The Role
The role will be to work alongside the partners in the Professional Practices Group and will be involved in a range of activities including:
• Drafting Partnership and LLP Members' Agreements
• UK and International mergers and de-mergers
• Partnership downsizing and alternative business structures
• LLP conversions
• Advising professional partnerships and LLPs on their governance, structuring and internal arrangements and the management of distressed partnerships
Skills & Competencies required
• Be seen as a trusted and knowledgeable business advisor to senior management, capable of fostering and maintaining close commercial relationships
• Have operated successfully in a respected corporate practice, likely, but not exclusively, to have been within a top 10 firm
• Experience of corporate law gained within a comparable environment and at an appropriate level with some expertise in advising partnerships and on merger/demerger issues.
