The Securitisation and Structured Finance Team:
The Structured Capital Markets Team in the UK is a rapidly growing specialised unit, working within the larger Finance Department, following a significant hire (in December 2005) of an existing team. The team handles significant securitisation, structured capital markets and complex derivatives based transactions for a wide variety of significant international clients. With 6 full time securitisation/capital markets partners in the UK and over 20 securitisation partners based outside the UK, the team is truly international in focus.
We work for lead managers, issuers, originators, trustees, rating agencies and other counterparties, and in relation to securitisation transactions, in all types of asset classes, both on term transactions and also asset-backed commercial paper.
Unlike many other UK teams, the structured capital markets team takes an integrated approach to capital markets, securitisation and derivatives work. Accordingly, the lawyers get a high level of hands-on experience across all these disciplines, rather than being required to specialise in one area at too early a stage.

Sample of current work:
•Acting for a number of leading banks/arrangers on the establishment of, and subsequent deals for, their asset-backed commercial paper conduit and securities arbitrage programmes.
•Acting for numerous leading banks/arrangers in relation to cross border trade receivables/lease receivables securitisations. Advising on cross border securitisation deals in numerous jurisdictions including France, Germany, Italy, Kazakhstan, Netherlands, Portugal, Greece, Russia, UK, Ukraine and US.
•Together with other colleagues in relevant firm's offices, the team has been involved in nearly all of the first securitisation deals in the newer markets such as Kazakhstan, Russia and the Ukraine.
•Acting for one of the world's leading rating agencies in relation to CMBS deals.
•Advising on the monetisation of large equity stakes in European and Asian publicly listed companies using structured equity derivatives.
•Acting for a number of clients (including a major rating agency) on hedging aspects of structured financings and private equity financings.
•Acting for issuers and arrangers on a wide variety of debt capital markets transactions which have included stand alone and programme based issuance in Russia, the Ukraine, Kazakhstan and the Middle East.
•Acting for issuers and arrangers on equity linked debt transactions.

The ideal candidate will come from a similar UK firm background. It is essential that the candidate has strong academic, personal and technical skills needed to support the client work of the department. Excellent written communication and drafting skills are required as well as the ability to demonstrate initiative and pro-activity.
