Wachtell and Simpson lead Delta-Northwest deal

Elite New York firms Wachtell Lipton Rosen & Katz and Simpson Thacher & Bartlett have bagged lead roles on the merger between Delta Airlines and Northwest Airlines – a deal that will create the country’s largest air carrier, worth almost $18bn (£9bn).

Wachtell is advising Delta alongside fellow US firm Hunton & Williams. Corporate partners Edward Herlihy, Stephanie Seligman and Lawrence Makow led the team for Wachtell.

Global competition chief Hewitt Pate is at the helm for Hunton, with competition partners Bruce Hoffman in Washinton DC and Michael Rosenthal in Brussels also involved.

Simpson Thacher is representing Northwest, meanwhile, with Los Angeles-based O’Melveny & Myers advising the client on competition issues. M&A chief Casey Cogut is leading the team for Simpson Thacher, alongside New York corporate partners Wilson Neely and Andrew Smith.

The new airline will operate under the Delta brand, with Delta chief executive Richard Anderson continuing to lead the combined company. Delta and Northwest together will together operate a mainline fleet of nearly 800 aircraft employing approximately 75,000 people worldwide.

The deal comes against the backdrop of rising fuel costs and heightened competition in the aviation sector.
