Freshfields gets in on Nomura's Lehman buy-out

Freshfields Bruckhaus Deringer has emerged as the latest firm to score a role on Japanese investment bank Nomura’s acquisition of Lehman Brothers’ Asian operations and its European and Middle East investment banking and equities divisions.

The firm is acting for Nomura on the implementation of the acquisitions and on the legal aspects of the integration of the two businesses.

London corporate partners Stephen Revell, Mark Kalderon and Stephen Hewes are all advising on the deals alongside Hong Kong corporate partner Rob Ashworth and London IP/IT partner Richard Lister.

Freshfields’ role means that three firms are now advising Nomura on the acquisitions, which are expected to save thousands of jobs at the fallen investment bank. As previously reported by Legal Week, a team of lawyers from Skadden Arps Slate Meagher & Flom in Hong Kong and London is advising the bank on the Asia and European acquisitions. Meanwhile Nomura panel firm Osborne Clarke is advising on the employment aspects of the Europe deal.

Ashurst is advising Lehman’s European investment banking division on the takeover by Nomura, with Linklaters advising PricewaterhouseCoopers as European administrator and KPMG as Lehman’s Asian administrator.

Linklaters has landed a stream of instructions for banks in the wake of Lehman’s spectacular collapse. In addition to its roles for the Lehman administrators, the magic circle firm is also acting for Lloyds on its £12.2bn takeover of stricken UK lender HBOS, and advising longstanding client Merrill Lynch on its takeover by Bank of America. A team led by relationship partner Olivia McKendrick and including financial markets partner Michael Kent and corporate partner Jeremy Parr is advising Merrill on all non-US aspects of the deal, aside from competition matters.

Meanwhile in the US, Sullivan & Cromwell and Los Angeles’ firm Munger Tolles & Olson are advising on billionaire investor and Berkshire Hathaway chairman Warren Buffett's $5bn (£2.7bn) acquisition of a stake in Goldman Sachs.

Munger Tolles corporate partner Robert Denham has the lead role for Buffett and Berkshire with Sullivan corporate partner John Mead acting for Goldman.

Sullivan, through chairman Rodgin Cohen, has also been advising Goldman on its recently announced conversion from an investment bank to a bank holding company.
