Deal Week Dispatch brings readers an early taster of news from Legal Week’s unparalleled Deal Week section

 

M&A

Shearman & Sterling is advising Nokia on its $8.1bn (£4bn) acquisition of navigation and location service NAVTEQ. Shearman New York-based corporate partner George Casey is leading the team, with London-based partner Matthew Readings advising on competition matters. Howrey antitrust partner Mike Cowie is advising NAVTEQ, while Winston & Strawn corporate partner Robert Wall advised NAVTEQ’s independent directors.

Allen & Overy corporate partners Alan Paul (pictured left) and Susan Howard have advised a JP Morgan-led consortium on its £4.2bn acquisition of Southern Water from Royal Bank of Scotland (RBS). Linklaters relationship partner William Buckley advised RBS on its disposal. UBS and Hermes, both members of the consortium, were advised by corporate partners Malcolm Lombers and Martin Bowen at Herbert Smith and SJ Berwin respectively. Clifford Chance finance partner Simon Williams advised RBS as debt provider. Ogier head of structured finance Chris Byrne acted in Jersey for the consortium.

Jones Day is advising ABM Industries on its $365m (£179m) acquisition of maintenance service company One Source. Corporate partners Leon Ferera and Robert Profusek in London and New York respectively led the Jones Day team. Allen & Overy London-based corporate partner Eileen Kelliher (pictured below right) and New York-based corporate partner Michael Gilligan jointly led the team advising One Source.

 

FINANCE

Taylor Wessing corporate partner Simon Walker has advised mobile phone service Trutap on its $6.5m (£3.2m) second-round fundraising. Simmons & Simmons corporate partner Arthur Stewart advised the financial investors.

 

PROPERTY

Forsters property partner Matthew Swainston has advised real estate company Redevco on the redevelopment and pre-letting of the former 110,000 sq ft C&A and Beatties department store site in Birmingham. The three pre-lets, which have a projected value of £25.5m, will see retailers New Look, JJB Sports and Mothercare take on the new tenancies. DLA Piper Leeds real estate partner Valerie Mather advised New Look and Mothercare and property partner David Mayes of northwest firm Platt & Fishwick acted for JJB Sports.

Fladgate Fielder has advised RREEF Real Estate, part of Deutsche Bank’s asset management division, on its £100m acquisition of the Four Pillars Hotel Group. Corporate partner Anthony Vaughan led the Fladgate team, with Druces & Attlee commercial partner Toby Stroh advising Four Pillars.

 

CAPITAL MARKETS

DLA Piper corporate finance partner Alex Tamlyn has advised veterinary services company CVS Group on its £92.7m initial public offering on the Alternative Investment Market. Travers Smith head of corporate finance Spencer Summerfield (pictured) advised nominated adviser and broker Panmure Gordon.

Slaughter and May corporate partner Andrew Jolly has advised Costain Group on its £60m rights issue. Travers Smith corporate finance chief Spencer Summerfield advised underwriter Arbuthnot and Dresner and Hawkpoint as sponsors.
